Briefly
beNuova is a business consulting service operated by Rlab, offering subscription-based and custom advisory services to companies. Services are billed monthly or annually, auto-renew unless canceled, and are delivered digitally. Clients may request tailored project quotes in addition to standard plans. All materials remain Rlab’s intellectual property, and liability is limited.

These Terms of Service ("Terms") set forth the legally binding terms and conditions for the purchase, access, and use of consulting services provided by Rettore Lab (Rlab) through its business service known as beNuova. These services are made available through the website www.benuova.com and are intended exclusively for legal entities and business professionals located within the European Union.

The services described herein are offered by Rettore Lab (Rlab), a company registered under Italian law with its legal headquarters in Italy. The beNuova service is a business consulting initiative operated and managed exclusively by Rlab.

Rlab, through its beNuova service, delivers remote, subscription-based consulting services that are highly customizable and adapted to the unique needs of each business client. These services may include digital strategy, organizational development, operational process optimization, and more. In addition to ongoing subscriptions, Clients may request tailored service packages or standalone consulting engagements, for which Rlab will provide a custom quote and a separate contractual agreement if accepted.

Clients may choose between monthly and annual subscription plans, depending on their business requirements.
Each subscription automatically renews at the end of its term unless the Client provides timely notice of cancellation.
The applicable rate at the time of renewal will be the current published rate on the beNuova website.
Cancellation requests can be submitted via the Client’s online account or by direct written communication with Rlab. Subscriptions remain active until the end of the billing period in which cancellation occurs.

To subscribe to or request services from beNuova, the Client must create and maintain an account through the platform. Clients are responsible for providing accurate, current, and complete information and for maintaining the confidentiality of their account credentials. Misuse or falsification of account data may result in suspension or termination of services.

Service fees are expressed in Euros and exclusive of VAT unless otherwise specified.
All payments are processed securely via third-party payment gateways.
A contract between the Client and Rlab is considered valid upon successful payment processing.
Invoices are issued electronically and stored in the Client’s account dashboard for access and download.

Services are delivered digitally and executed in close collaboration with the Client. Projects are handled flexibly, with deliverables and consulting sessions adapted according to evolving business needs. In cases where a Client requests a custom project outside the standard subscription scope, Rlab will issue a bespoke quotation. These projects, once approved, are governed by terms agreed upon in writing between the parties.

All proprietary materials, analyses, frameworks, reports, and tools developed or provided by Rlab in the context of its beNuova services remain the intellectual property of Rlab. Clients are granted a limited, non-exclusive, and non-transferable license to use such materials solely for their own internal business operations, unless alternative rights are granted under a separate agreement.

While Rlab commits to delivering its services with a high standard of professionalism and care, results are not guaranteed.
The Client accepts that services are provided "as is" and that Rlab is not liable for any consequential, incidental, or indirect damages including loss of revenue or business interruption.
Liability is limited to cases of intentional misconduct or gross negligence, and in no case shall exceed the amount paid by the Client during the preceding twelve months.

Rlab shall not be liable for any delays or failure to perform its obligations under these Terms when such failure arises from circumstances beyond its reasonable control. This includes, but is not limited to, government actions, epidemics, labor strikes, internet outages, cyberattacks, or natural disasters.

These Terms are governed by and construed in accordance with the laws of Italy. Any dispute arising under or in connection with these Terms shall fall under the exclusive jurisdiction of the courts of Italy, in accordance with Regulation (EC) No 593/2008 (Rome I) and Regulation (EU) No 1215/2012 (Brussels I bis).

In compliance with Regulation (EU) 2018/302, Rlab does not engage in unjustified geo-blocking and offers equal terms of access to business users from all EU Member States. Clients will not be discriminated against based on their place of establishment within the EU.

Rlab reserves the right to modify these Terms at any time. Clients will be notified of material changes in advance by email or via the Client portal. Continued use of the services after such notification constitutes acceptance of the revised Terms.
